t42 IoT Tracking Solutions PLC

These Terms apply to mobile, web and desktop applications, APIs, Command Center, remote commands, tracking, alerts and related digital services (the "Services") made available by t42 IoT Tracking Solutions PLC, a Jersey company ("t42"). They apply to businesses and individual users. By accessing or using the Services, you accept these Terms. If a separately signed agreement with t42 expressly conflicts with these Terms, that agreement prevails.

1. License and lawful use

t42 grants you a limited, non-exclusive, non-transferable, revocable right to use the Services for authorized, lawful purposes. t42 retains all intellectual property rights. You must protect your credentials, use only accounts and devices you are authorized to access, and comply with laws concerning tracking, privacy, employment and surveillance. You must not misuse, interfere with, or reverse-engineer the Services.

2. Tracking and remote-control risks

Location data, sensor readings, maps, reports, messages, alerts and remote commands may be inaccurate, delayed, unavailable or unsuccessful. The Services do not guarantee prevention of theft, loss or damage, and are not insurance, emergency response, or safety-critical systems. You are responsible for independent verification, suitable safeguards, and ensuring that any remote command is authorized, lawful and safe.

3. Availability and privacy

The Services may be changed, interrupted, restricted or discontinued where lawful. t42 does not promise uninterrupted access. Personal information is handled in accordance with applicable law and our Privacy Policy at https://www.t42.co.uk/privacy-policy.

4. No warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF ACCURACY, AVAILABILITY, RELIABILITY, SECURITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.

5. Exclusion of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, t42, its affiliates and their directors, officers, employees and service providers SHALL NOT BE LIABLE FOR ANY CLAIM, LOSS OR DAMAGE ARISING FROM OR RELATED TO THE SERVICES, WHETHER DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR OTHERWISE, INCLUDING THEFT, CARGO OR ASSET LOSS, PROPERTY DAMAGE, MISSED ALERTS, INACCURATE TRACKING, FAILED REMOTE COMMANDS, DATA LOSS, CYBER INCIDENTS, BUSINESS INTERRUPTION OR LOST PROFITS, REGARDLESS OF THE LEGAL BASIS OF THE CLAIM OR WHETHER SUCH LOSS WAS FORESEEABLE. If a liability to a business user cannot lawfully be excluded but can lawfully be limited, aggregate liability is limited to US$100, to the extent that this limit is enforceable. This business-only limit does not apply to consumers.

6. Mandatory legal rights

Nothing in these Terms excludes or limits liability for fraud, death or personal injury caused by negligence where such liability cannot lawfully be excluded, or any other liability or consumer remedy that applicable law does not allow to be excluded or limited. Any exclusion or limitation applies only to the extent lawful, fair and enforceable.

7. Your responsibility

You are responsible for your use of the Services, the lawfulness of any tracking or monitoring, and actions you take based on displayed information. To the extent permitted by law, business users will indemnify t42 against third-party claims arising from their unlawful tracking, unauthorized use or material misuse, except to the extent caused by t42 where its liability cannot lawfully be excluded.

8. Governing law and contact
